Terms of Use

1. Acceptance of Terms

By accessing or using the Placeholder3 streaming platform at placeholder3.com (the "Service"), creating an account, or subscribing to any of our plans, you agree to be legally bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Placeholder3 (operated from Richmond, BC, Canada). We reserve the right to modify these Terms at any time. Material changes will be communicated to you at least 14 days in advance via email or in-platform notification.

2. Eligibility

You must be at least 18 years of age to create an account and subscribe to the Service. By using Placeholder3, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement in your jurisdiction.

The Service is available to residents of Canada. If you access the Service from outside Canada, you do so at your own initiative and are responsible for compliance with your local laws.

3. Subscription and Payment

Placeholder3 is a subscription-based service. By subscribing to a plan, you agree to the following:

• Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.
• You authorise us to charge your designated payment method for recurring subscription fees.
• All subscription fees are billed in Canadian dollars and are non-refundable except where required by applicable law or in the event of a billing error on our part.
• We reserve the right to adjust subscription pricing with at least 30 days' prior notice. Your continued use of the Service after the price change takes effect constitutes acceptance of the new rate.
• If a payment fails, we will notify you and attempt to retry the charge. Failure to resolve an overdue payment may result in suspension or termination of your account.

4. Permitted Use

Placeholder3 grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial entertainment purposes. You agree to use the Service only in accordance with these Terms and applicable law.

You are expressly permitted to:

• Stream content on supported devices up to the screen limit of your plan.
• Download content for offline viewing on eligible devices where this feature is available on your plan.
• Share your subscription with household members up to the screen limit of your plan.

5. Prohibited Use

You agree that you will not, under any circumstances:

• Share your account credentials with individuals outside your household or use the Service for commercial screening or public performance.
• Copy, reproduce, distribute, republish, or otherwise exploit any content from the Service in any format without our express written permission.
• Circumvent, disable, or interfere with digital rights management (DRM) systems, security features, or geographic access controls.
• Use automated tools, bots, scrapers, or scripts to access, extract, or download content or data from the Service.
• Upload, transmit, or distribute any harmful code, viruses, or malicious software through the Service.
• Impersonate another person or entity, misrepresent your affiliation, or engage in any fraudulent activity.
• Use the Service in any way that infringes the intellectual property rights of Placeholder3, its content licensors, or any third party.
• Attempt to gain unauthorised access to any part of the Service, other accounts, or our infrastructure.

Violation of these prohibitions may result in immediate account suspension or termination and may expose you to civil or criminal liability.

6. Content and Intellectual Property

All content available on Placeholder3 — including films, TV series, trailers, images, logos, and descriptive text — is the property of Placeholder3 or its content licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any ownership rights in any content. Your access to content is conditional on maintaining an active subscription. Cancellation of your subscription immediately terminates your right to access subscription content, though downloaded content may remain accessible for its permitted offline viewing period.

The Placeholder3 name, logo, and associated marks are our trademarks. You may not use our trademarks without prior written consent.

7. Service Availability and Changes

We strive to maintain a high level of service availability and target 99.9% uptime. However, we do not guarantee uninterrupted or error-free access to the Service. Planned maintenance, technical issues, or events outside our control may temporarily affect availability.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. We may also add or remove content from our library based on our licensing agreements. We will make reasonable efforts to notify you of significant changes in advance.

8. Account Responsibility

You are responsible for maintaining the confidentiality of your account login credentials. You agree to notify us immediately at admin@placeholder3.ca if you suspect any unauthorised access to your account.

You are responsible for all activity that occurs under your account. Placeholder3 will not be liable for any loss or damage arising from your failure to protect your login credentials.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be free from errors, interruptions, or security vulnerabilities, or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Placeholder3, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total subscription fees paid by you to us in the three months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, the limitations above apply to the maximum extent permitted by law.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be subject to good faith negotiation. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in Richmond, British Columbia, in accordance with the Commercial Arbitration Act (British Columbia). Nothing in this clause prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

12. Termination

You may terminate your use of the Service at any time by cancelling your subscription through your account settings. Upon cancellation, your access will continue until the end of the current billing period.

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that harms other users or our business. In cases of serious violation, termination is immediate and no refund will be issued.
